After years of reviewing business opportunity listings on SmartBizOpps, I’ve noticed the same handful of questions separate a good decision from a bad one almost every time, regardless of the specific industry. I wanted to pull those questions into one place, because this is the checklist I’d want someone to actually use before they commit money to any business opportunity, including ours.
Ask for the Total Cost, Not Just the Headline Fee
Almost every business opportunity has costs beyond the number in the ad, software fees, required materials, renewal costs, inventory minimums. Ask directly: what is the all-in cost to get fully operational, not just to sign up? If the seller hesitates or gives a vague range instead of a real number, that’s information in itself.
Scrutinize Any Earnings Claims
The FTC’s Business Opportunity Rule requires certain disclosures specifically because earnings claims have historically been one of the easiest places for sellers to mislead buyers. If a business opportunity shows you income examples, ask whether those figures are typical or best-case, and ask to see the actual earnings disclosure document if one exists. “Some people made six figures” tells you nothing about what a typical new participant actually earns.
Talk to a Current Participant, Not Just the Seller
A seller’s marketing materials are, understandably, designed to sell. A five-minute conversation with someone who’s actually six months or a year into running the business opportunity will tell you more about day-to-day reality than an hour of promotional material. If a seller won’t connect you with any current operators, or only offers hand-picked references who sound suspiciously rehearsed, treat that as a real warning sign.
Be Honest About the Time You Actually Have
Plan around the hours you genuinely have available, not the hours you wish you had. A business opportunity that assumes fifteen hours a week of consistent effort won’t deliver the same results at five hours, and that’s not the opportunity’s fault, it’s a mismatch between expectations and reality that’s worth catching before you invest, not after.
Confirm Licensing and Legal Requirements Yourself
Don’t assume the seller has handled every licensing or legal requirement on your behalf. Confirm directly with your state and local government what’s required for the specific business opportunity you’re considering, this varies enormously by industry and location, and the responsibility for compliance generally sits with you as the operator, not the company selling the opportunity.
A Quick Checklist Before You Sign Anything
- I know the total all-in cost, not just the advertised fee
- I’ve seen a real disclosure document for any earnings claims, not just marketing copy
- I’ve spoken with at least one current, independent participant
- I’ve set a realistic weekly time budget and checked it against what the opportunity assumes
- I’ve confirmed licensing and legal requirements directly with my state or local government
Red Flags That Should Make You Slow Down
After reviewing many business opportunities over the years, a few warning signs come up again and again in the ones that end badly. Pressure to decide and pay immediately, with no time to review paperwork or talk to existing participants, is one of the clearest red flags. So is a heavy emphasis on recruiting other people into the opportunity rather than on selling an actual product or service to real customers, which often signals a structure closer to a pyramid scheme than a legitimate business opportunity. Vague or inconsistent answers about where income actually comes from, and an unwillingness to provide required disclosure documents, are equally serious warning signs.
If any of these signs appear while evaluating a business opportunity, I would treat that as reason enough to walk away, regardless of how compelling the income claims sound. Legitimate opportunities can tolerate scrutiny, patience, and hard questions; the ones that cannot are telling you something important.
Why Talking to Current Participants Matters More Than the Pitch
A polished sales presentation tells you how a business opportunity wants to be seen; a candid conversation with someone already running it tells you how it actually performs. Franchise disclosure documents and many legitimate business opportunity programs are required to provide contact information for existing participants, and reaching out to several of them directly, not just the one or two names the company suggests, often reveals a far more complete picture than the official pitch.
I always ask these existing participants about their actual monthly income after expenses, how long it took to become profitable, and what they wish they had known before starting. The honest, sometimes unflattering answers to these questions are worth far more than anything in a glossy marketing brochure.
Calculating the Real Total Startup Cost, Not Just the Headline Fee
The advertised entry fee for a business opportunity is rarely the full picture of what it actually costs to get started and reach profitability. Equipment, inventory, marketing spend, required training, ongoing royalty or licensing fees, and the working capital needed to cover living expenses during the unprofitable early months all need to be added to get an honest total. Many people underestimate this real total cost significantly, which leads to running out of money before the business opportunity has a real chance to succeed.
Building a complete budget that accounts for all of these costs, with a reasonable cushion for the unexpected, before committing any money is one of the single most valuable steps anyone can take when evaluating a new business opportunity.
Frequently Asked Questions
What’s the single biggest red flag in a business opportunity?
Vague or unverifiable earnings claims combined with pressure to decide quickly. Legitimate opportunities can withstand careful, unhurried due diligence.
Is every business opportunity required to provide a disclosure document?
The FTC’s Business Opportunity Rule requires certain disclosures from covered sellers, though the specific requirements differ from the franchise disclosure rules. Ask directly what’s been disclosed and compare it against current FTC guidance.
How long should due diligence take before investing?
There’s no fixed timeline, but if you feel rushed to decide before you’ve completed basic checks, cost, earnings claims, current participants, licensing, that pressure itself is worth questioning.
Verifying Income Claims Before You Believe Them
Any business opportunity that advertises specific income figures in the United States is legally required, under FTC rules, to back those figures with a written earnings claim document showing the actual data behind them. If a seller cannot or will not produce this document when asked, that alone is a serious warning sign, since it suggests the advertised numbers may not reflect what a typical participant actually earns. Reading this document carefully, including the fine print about what percentage of participants actually achieved the advertised results, often reveals a very different picture than the headline numbers used in marketing.
I treat this earnings claim document as one of the single most important pieces of due diligence when evaluating any business opportunity, and I would never move forward without seeing and understanding it fully.
Is it worth paying for a lawyer to review a business opportunity contract?
For any significant financial commitment, yes. A business attorney experienced in franchise or licensing agreements can identify unfavorable terms, hidden obligations, or unusual termination clauses that are easy to miss when reading a lengthy contract without legal training, and the cost of that review is almost always small compared to the total investment at stake.
How long should I take to decide on a major business opportunity?
There is no universal answer, but a legitimate opportunity will almost always allow at least several weeks for thorough review, including the mandatory franchise disclosure waiting period where applicable, and any seller pushing for an immediate decision without that time deserves extra scrutiny rather than less.
Ultimately, the time spent on this kind of careful evaluation is never wasted, even for a business opportunity that turns out to be a poor fit. Each one reviewed sharpens the questions asked of the next, and that experience compounds into much better decision-making over time.
Patience during this evaluation stage is one of the best predictors I have seen of long-term success once a business opportunity actually gets underway.
Rushing rarely pays off, no matter how good the pitch sounds in the moment.
Take the time you need.
It will pay off.
Trust the process.
Good opportunities can withstand scrutiny.
Bad ones rarely do, and that gap tells you everything.
Act accordingly.
Your future self will thank you for the diligence.
Count on it.
Careful evaluation remains the single best tool any entrepreneur has when weighing a new business opportunity.
